Company Formation & Setup in Bahrain

Company formation in Bahrain takes 11 to 21 working days and allows 100% foreign ownership across more than 350 business activities. This page is for founders and companies who want to set up in Bahrain and would rather have a MOIC-recognised local firm handle the process than navigate five different government authorities alone. Below is exactly how setup works, what it costs, which company type fits you, and how LevantBMS runs it end to end.

LevantBMS is a Bahrain-based business management consultancy operating from Manama, an MOIC-accredited Professional Body, and works closely with the Central Bank of Bahrain. We have guided founders and companies through setup in Bahrain since 2003. Our office is located on the Second Floor of the Bahrain Financial Harbour, opposite the Ministry of Industry and Commerce, which is the government body that issues your registration — so we deal with them daily, not occasionally.

Why Set Up a Company in Bahrain

Bahrain gives foreign owners a rare combination in the Gulf: full ownership, no corporate or personal income tax on most activities, and one of the region's fastest registration systems. For most foreign owners, business setup in Bahrain is also cheaper and quicker than the rest of the GCC. Most commercial activities allow 100% foreign ownership, so you do not need a local partner to hold 51% the way some neighbouring markets require.

The cost of running a company here is also lower than elsewhere in the GCC. According to the World Bank, the average border compliance cost to export a unit from Bahrain is around USD 47, compared with a MENA average closer to USD 442. For a regional base that serves Saudi Arabia and the wider Gulf, that difference adds up.

Three things founders consistently choose Bahrain for:

Full ownership and no tax.100% foreign ownership on most activities, 0% corporate tax and 0% personal income tax, with 10% VAT applying only to domestic sales above the registration threshold.

Speed.A Commercial Registration is issued in 11 to 21 working days, faster than most GCC options, because the whole process runs through one digital portal (Sijilat).

Access to Saudi Arabia.Bahrain sits on the causeway to the Eastern Province of Saudi Arabia, making it a practical, lower-cost base for firms selling into the Saudi market.

The Company Setup Process, Step by Step

Company setup in Bahrain is a sequential process through five government touchpoints. Each step must finish before the next begins, which is where most delays come from when it is done without help. Here is the full path.

  1. 01

    Security clearance (NPRA).

Every foreign shareholder and director passes a background check through the Nationality, Passports and Residence Affairs authority. It takes 3 to 5 business days and a rejection stops everything, so document preparation matters most here.

  2. 02

    Name reservation (MOIC via Sijilat).

You submit three proposed trade names in order of preference. MOIC approves the first that meets its naming rules. The approved name stays valid for 60 days.

  3. 03

    Registered address (Municipality).

Your office lease, EWA bill and premises photos go to the Municipality for verification. Business centre addresses are accepted for consulting, tech and holding activities.

  4. 04

Notarised Deed of Association (Ministry of Justice).

Your Memorandum and Articles of Association must be notarised at the Notary Public. All partners must attend in person, or your service provider may sign on your behalf if a notarised Power of Attorney is issued to them by you. A Professional Body requires authority only if a power of attorney proves to be difficult or will delay the services.

  5. 05

    Bank account and capital deposit.

Under MOIC Resolution No. 43 of 2024, you open a corporate bank account and deposit your share capital before the CR is finalised. The bank's capital confirmation letter completes your Commercial Registration.

We handle every filing, every authority and every follow-up in this chain. You provide documents once; we coordinate the rest.

Which Company Type Is Right for You

The company type you choose decides your ownership, liability and capital requirements, so this is the first real decision in setup. Bahrain offers several structures, and the right one depends on how many owners you have and what you plan to do.

WLL (With Limited Liability).

The most common choice for foreign investors. Liability is limited to the capital, and there is no legally fixed minimum capital. The W.L.L. can be owned by a single owner or multiple owners. This type of company replaced the discontinued Single Person Company (SPC).

Branch of a foreign company.

An overseas parent company can operate directly in Bahrain through a registered branch. It needs a board resolution, the parent's audited financials and documents attested by the Bahraini embassy in the country of origin.

BSC (Joint Stock Company).

For larger or regulated ventures. It carries higher capital and governance requirements and suits finance, insurance and public companies.

Choosing the wrong structure is one of the more expensive mistakes in setup, because changing it later means amendments and fees. We advise on the right fit before a single filing is made.

What Company Formation in Bahrain Costs

Company formation in Bahrain has two cost layers: fixed government fees and a service fee for handling the process. The government portion is predictable. The variable part is your activity licence, which depends on the ISIC code of what you do.

Core government fees paid through Sijilat and the relevant authorities:

Core government fees paid through Sijilat and the relevant authorities
Item Fee
NPRA security clearance Free
Trade name reservation Free
Commercial Registration issuance BHD 50
Activity licensing (first three activities) BHD 100
MOA/AOA drafting and notarisation BHD 100
Municipality approval BHD 10
Application BHD 20

Recurring costs to keep the company active are BHD 166 in normal circumstances. However, some other authorities may levy fees on certain activities.

Across the market, full formation packages that bundle government fees with the service differ from one consultant to another depending on structure, activity and office type. LevantBMS formation packages start from a fixed, all-inclusive fee that we confirm in writing before you commit. We quote a fixed figure up front, so you know the full cost before you commit, not after.

Why Work with LevantBMS

Our advantage is proximity and standing, not just process. LevantBMS operates from Manama as an MOIC-accredited Professional Body working closely with the Central Bank of Bahrain, and we already rank among the firms Bahrain businesses turn to for consultancy and advisory work. Setup is where that local standing pays off: we anticipate where MOIC, NPRA and the municipality slow applications down, and we prepare for it before it happens.

You get one point of contact, a fixed quote, and a firm that stays with you after the CR is issued for banking, visas and annual compliance. Setup is the start of the relationship, not the end of it.

Frequently Asked Questions

How long does company formation in Bahrain take?

Company formation in Bahrain takes 11 to 21 working days for most foreign investors setting up a WLL. The timeline depends on how quickly NPRA security clearance clears (3 to 5 days) and how complete your documents are. Missing or incorrect documents typically add 3 to 5 days per fix, which is the most common cause of delay.

Can a foreigner own 100% of a company in Bahrain?

Yes. Most commercial activities in Bahrain allow 100% foreign ownership, so a foreign investor does not need a local partner or sponsor for the majority of business types. A small number of restricted activities still require Bahraini participation, which is confirmed against the MOIC activity list before you choose your structure.

What is the minimum capital to set up a WLL in Bahrain?

There is no legally fixed minimum capital for a WLL in Bahrain.

Do I need to be in Bahrain to open a company?

No. You can complete company formation in Bahrain remotely by granting a notarised Power of Attorney, which lets your representative sign documents and attend the notary on your behalf. You will still need to provide valid passports, IDs and supporting documents, and most banks ask for six months of personal bank statements for account opening. However, all partners must attend before the bank for opening the corporate bank account.

What taxes will my Bahrain company pay?

A Bahrain company pays 0% corporate income tax and 0% personal income tax on most non-oil activities. A 10% VAT applies to domestic sales and services once annual taxable turnover passes BHD 37,500. Companies in specific regulated sectors may have additional obligations, which are confirmed based on your activity.
